Last Updated: June 2026

Welcome to CLADDERS by Modernizer Inc. (“CLADDERS”, “we”, “our”, or “us”). These Policies & Terms govern the supply, delivery, sale, and installation of products and services provided by CLADDERS.

CLADDERS specializes in architectural cladding systems, siding products, façade materials, building envelope systems, custom fabrications, and related construction services for residential, commercial, institutional, and industrial projects throughout Canada and the United States.

By requesting a quotation, purchasing products, or engaging CLADDERS for services, customers agree to the following Policies & Terms.

Shipping & Delivery Policy

Most products supplied by CLADDERS are custom-manufactured, fabricated, or specially ordered to meet project-specific requirements.

Lead times vary depending on product type, finish selection, fabrication requirements, supplier availability, manufacturing schedules, and project complexity. Any delivery dates provided by CLADDERS are estimates only and are not guaranteed.

CLADDERS can arrange deliveries throughout Canada and the United States through its network of shipping and logistics partners.

For deliveries within Ontario, CLADDERS may arrange transportation using delivery partners equipped with Moffett-mounted forklifts where appropriate. Availability of unloading equipment varies by project and will be specified in the applicable quotation or order confirmation.

For deliveries outside Ontario, customers are responsible for providing suitable unloading equipment, including forklifts, telehandlers, cranes, or other equipment required to safely unload materials, unless otherwise agreed in writing.

Customers are responsible for ensuring that the delivery location is accessible, safe, and ready to receive materials at the scheduled delivery time.

Failed Deliveries

If delivery cannot be completed due to site conditions, restricted access, unavailable personnel, lack of unloading equipment, scheduling conflicts, or other customer-related circumstances, additional charges may apply, including:

  • Re-delivery fees
  • Storage fees
  • Waiting time charges
  • Additional transportation costs

Risk of loss transfers to the customer upon delivery to the project site or designated delivery location.

Delivery Inspection

Customers must inspect all delivered materials immediately upon receipt.

Any visible damage, shortages, shipping discrepancies, or delivery-related concerns must be reported to CLADDERS in writing within forty-eight (48) hours of delivery.

Failure to report such issues within this period may result in the claim being denied.

Payment Terms

Unless otherwise stated in writing, full payment must be received before products are released for shipment or delivery.

Pricing is subject to supplier confirmation prior to order placement.

Quotations are based on information available at the time of pricing and may be revised if product specifications, quantities, material costs, freight costs, tariffs, exchange rates, or project requirements change.

Ownership of all supplied materials remains with CLADDERS until all outstanding invoices have been paid in full.

Customer Review & Order Verification

Customers are responsible for reviewing and approving all quotations, shop drawings, specifications, dimensions, quantities, colours, finishes, and product selections before placing an order.

Unless specifically contracted to perform field measurements, CLADDERS relies on dimensions, drawings, specifications, and information provided by customers, architects, consultants, builders, contractors, and other third parties.

Once approved, CLADDERS shall not be responsible for errors resulting from customer-approved information, measurements, drawings, specifications, product selections, or quantities.

Returns, Refunds & Exchanges

Due to the custom nature of most products supplied by CLADDERS, returns, refunds, and exchanges are generally not available once material procurement, fabrication, manufacturing, finishing, or production has commenced.

Non-Returnable Products

Returns, refunds, or exchanges will not be accepted for:

  • Change of mind
  • Personal preference
  • Design changes after approval
  • Ordering errors by the customer
  • Incorrect measurements provided by the customer
  • Project cancellations
  • Surplus materials remaining after project completion
  • Requests based solely on aesthetic preference

Special-order, non-stock, custom-fabricated, custom-finished, cut-to-size, or made-to-order products are non-refundable and non-returnable, regardless of shipment status, unless the product is defective or incorrectly supplied by CLADDERS.

Order Cancellations

Orders cannot be cancelled once fabrication, manufacturing, finishing, or material procurement has commenced.

Damaged, Defective or Incorrect Products

CLADDERS is committed to supplying products that meet approved specifications and quality standards.

Customers may submit a claim if products are:

  • Damaged during transportation
  • Defective due to manufacturing issues
  • Incorrectly supplied
  • Delivered with a finish materially different from the approved specification
  • Delivered with a colour materially different from the approved physical sample or written specification

Claims must be submitted in writing within forty-eight (48) hours of delivery and must include photographs and supporting documentation.

Claim Resolution

CLADDERS reserves the right, at its sole discretion, to:

  • Replace affected products
  • Refund affected products
  • Provide an alternative remedy deemed appropriate under the circumstances

Claims may be denied where products have been installed, modified, altered, fabricated, or incorporated into the work prior to notification and review by CLADDERS.

No products may be returned without prior written authorization from CLADDERS.

Freight Damage Claims

Customers must retain all original packaging, pallets, crates, wrapping materials, and shipping documentation until the claim has been reviewed by CLADDERS and, where applicable, the freight carrier.

Failure to retain packaging materials may affect eligibility for freight damage claims.

Product Samples & Colour Variations

Architectural materials may exhibit minor variations in colour, texture, sheen, grain pattern, finish, dimensions, and appearance due to manufacturing processes, material characteristics, production batches, lighting conditions, and viewing conditions.

Approved physical samples govern over website images, renderings, photographs, printed materials, digital representations, and screen displays.

Minor variations between approved samples and delivered products do not constitute defects and are not grounds for return, refund, or replacement.

Storage & Handling

Customers are responsible for properly storing, protecting, and handling materials after delivery.

Materials must be stored in accordance with manufacturer recommendations and protected from moisture, standing water, excessive heat, contamination, impact damage, and other adverse site conditions.

CLADDERS shall not be responsible for damage resulting from improper storage, handling, installation, site conditions, or misuse after delivery.

Manufacturer Warranties

Manufacturer warranties apply where available and are subject to the individual manufacturer’s terms, conditions, limitations, exclusions, and warranty procedures.

CLADDERS does not provide warranties beyond those expressly stated in writing.

Customers should refer to the applicable manufacturer’s warranty documentation for complete details.

Product Supply vs. Installation Services

This policy primarily governs product supply and material orders.

Product-only orders are governed by these Policies & Terms.

Installation services, design services, consulting services, and construction activities are governed by the applicable quotation, proposal, contract, subcontract, service agreement, or project-specific documentation.

In the event of a conflict between these Policies & Terms and a signed contract, the signed contract shall govern.

Force Majeure

CLADDERS shall not be liable for delays, interruptions, or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to:

  • Manufacturer delays
  • Supply chain disruptions
  • Transportation interruptions
  • Labour shortages
  • Strikes or lockouts
  • Natural disasters
  • Severe weather events
  • Government actions
  • Tariffs or trade restrictions
  • Border delays
  • Acts of war, terrorism, or civil unrest

Delivery schedules and project timelines may be adjusted accordingly.

Limitation of Liability

To the fullest extent permitted by applicable law, CLADDERS shall not be liable for any indirect, incidental, special, consequential, punitive, delay-related, loss-of-profit, loss-of-use, loss-of-business, loss-of-opportunity, or project-related damages arising from the purchase, delivery, installation, use, or performance of supplied products or services.

CLADDERS’ total liability for any claim shall not exceed the purchase price of the affected product.

Governing Law

These Policies & Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.

Any dispute arising from the purchase of products or services from CLADDERS shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
